Terms of Service

Adyrix Systems Private Limited (D No 18-7-96/1, Shivalayam Temple, Kaza, Mangalagiri, Guntur - 522503, Andhra Pradesh, India), the company behind Stemmory.

These are the terms for using Stemmory. They apply to anyone who creates an account or otherwise uses the service. By creating an account, you agree to them.

1. Who we are

Stemmory is a product of Adyrix Systems Private Limited, a company registered in India (CIN: U62090AP2026PTC123598), with its registered office at D No 18-7-96/1, Shivalayam Temple, Kaza, Mangalagiri, Guntur - 522503, Andhra Pradesh, India.

In these terms, "we", "us" and "our" mean Adyrix Systems Private Limited. "You" means the person or organisation using Stemmory.

2. The service

Stemmory reads markdown files from a path you configure in your connected GitHub repository, plus ticket metadata from Linear and commit metadata from GitHub, and turns them into a feature graph: a map of what your project is, its status, and the decisions behind it. AI agents you authorise can also record decisions and status in Stemmory through API keys you create.

For each documentation file it reads, Stemmory stores a reference, not the file: the file's path and the commit it was read at, its title and frontmatter, and a short excerpt. It also stores the Linear ticket data you connect, commit metadata, and the decisions and status your agents record directly in Stemmory. It does not store your documentation files themselves, and it does not store your source code.

Stemmory is read-only with respect to your other tools. In this version of the product (v1), it never writes back to Linear or to GitHub. Agent API keys write to Stemmory itself, not to your connected tools. Connecting Stemmory cannot change, close or comment on anything in the tools you already depend on.

Stemmory runs on Postgres, hosted by Supabase, with the application itself hosted on Vercel.

We may add features, change how existing ones work, or discontinue a feature. If we remove something material that you are actively paying for, we will tell you first. Section 6 covers price and plan changes specifically.

3. Accounts and workspaces

You need an account to use Stemmory. You are responsible for keeping your login credentials secure and for what happens under your account.

You must be at least 18 years old and legally capable of entering into a binding contract. If you are accepting these terms on behalf of an organisation, you confirm you have the authority to bind it, and "you" means that organisation.

A workspace belongs to an organisation. Anyone you invite to a workspace must explicitly accept the invitation before they can see anything in it. Nobody joins a workspace silently.

Roles within a workspace (owner, admin, member, viewer) control who can do what. The person who creates a workspace becomes its owner — the most privileged role: only an owner can make someone else an owner, and a workspace always has at least one. Viewers are read-only: they can see what is in a workspace they have accepted an invitation to, and they cannot change anything. You are responsible for who you grant admin access to, and above all for who you make an owner.

You must give us accurate information when you create an account and keep it up to date.

4. Payment, and Paddle as Merchant of Record

Paddle.com Market Ltd is our authorised reseller and the Merchant of Record for every paid subscription. That means Paddle is the legal seller. When you pay for Stemmory, your purchase contract is with Paddle, not with us.

Paddle takes your payment, issues your invoice or receipt, and calculates and remits any sales tax, VAT or similar tax owed on the sale. Your card statement and your receipt will name Paddle, not Adyrix Systems Private Limited.

We set the prices and the plans. Paddle handles the transaction. Your checkout is also governed by Paddle's own buyer terms, which Paddle presents at checkout. If you have a billing dispute, such as a wrong charge or a failed payment, Paddle's own support process applies alongside ours.

Stemmory comes in more than one plan. Plans differ in their limits — for example, how many actively syncing projects and how many editor seats they include — and in which features they contain; some features are available only on certain plans or as paid add-ons. The current plans, what each includes, and their prices are set out on our pricing page, which is where they are kept up to date; these terms deliberately do not repeat them. Two things hold on every plan: archived projects are unlimited and never count against any limit, and viewer accounts are free and never consume a paid seat.

Subscriptions renew automatically. A monthly plan renews each month and an annual plan renews each year, until you cancel.

Every plan starts with a 14-day trial. We ask for your card up front. During the trial you get full access at the level of our Portfolio plan — no matter which plan you chose at signup — so you see the product at its best. We will email you a reminder 3 days before your trial ends and the first payment is due — that email is a commitment, not a courtesy. If you do nothing, the trial converts automatically to the plan you chose at signup, and the first payment is taken when the trial ends. Cancel before the trial ends and you pay nothing.

You can cancel your subscription at any time from inside the app. Cancelling stops the next renewal. Your access continues until the end of the period you have already paid for.

What happens when paying stops. If your trial ends without payment, if you cancel, or if a renewal payment fails and stays unresolved after Paddle's retries and a short grace period, your workspace becomes read-only: everything in it — the graph, the decisions, the journal, the history — is preserved and stays viewable, but syncing from GitHub and Linear stops and no new events are recorded. We never delete your data because of a billing change; read-only is the floor. Paying again reactivates the workspace, with everything as you left it. Deleting your account and its data is a separate act, described in our Privacy Policy.

5. Refunds

If you are not happy with Stemmory, you can get a full refund within 14 days of your first payment on a subscription. No questions asked.

The trial in Section 4 is also 14 days, and the two windows are easy to conflate, so to be exact: they are different periods, and they run one after the other, never together. The trial's 14 days run from signup and end with your first charge. The refund window's 14 days start only at that charge. During the trial, cancelling means you are never charged at all; after the first charge, you have a further 14 days in which that payment will be refunded in full.

This covers the first payment only. Renewal payments are not covered. You can cancel a subscription at any time, in one click, from inside the app, so a renewal you no longer want is something you can stop before it happens, not something you need refunded afterwards.

Because Paddle is the Merchant of Record, refunds are issued by Paddle, to your original payment method. Full details, including how to request one, are in our Refund Policy.

Nothing in this section limits any refund or cancellation right you have under the law that applies to you. Where that law gives you a stronger right than the policy above, it applies instead.

6. Pricing and plan changes

We may change prices and plan contents at any time for new subscriptions.

For an existing subscription, this is our commitment:

If you already have a subscription, a price increase does not apply to you. You keep the price you signed up at for as long as your subscription continues, even if the list price rises. If we change what your plan includes in a way that affects you, the change takes effect at your next renewal at the earliest, and we will tell you at least 30 days beforehand, so you can cancel before it applies.

In practice: the price you pay is the price you agreed to, for as long as you stay subscribed — new list prices are for new customers. And a change to what your plan contains never touches a term you have already paid for. It can only arrive at a renewal, and only after we have given you at least 30 days' notice, so you have time to cancel first if you want to.

7. Your content and the licence you grant us

You keep ownership of your content: your repository's markdown files, the decisions and status your team or your agents record in Stemmory, and anything else you put into it.

You grant us a licence to host, process and display that content, only to the extent needed to provide the service to you and the people in your workspace, including through the hosting providers named in Section 2. We do not use your content to train models, and we do not sell it.

You are responsible for having the right to share what you connect. If you connect a repository or a Linear workspace you do not have the rights to, that is on you, not us.

We keep ownership of everything else: the Stemmory software, the service, the site, and the Stemmory name and branding. These terms let you use the service while you have an account; they do not transfer any of that to you.

8. Acceptable use

Use Stemmory for its intended purpose: tracking and understanding your own projects. Do not:

  • Try to access another workspace's data, or probe the service for vulnerabilities without our permission.
  • Use the service to store or process anything unlawful.
  • Reverse engineer the service beyond what the law allows, or resell access to it without our agreement.
  • Abuse API keys or rate limits in a way that disrupts the service for other customers.

If we reasonably believe your use of the service is harming us, other customers, or the service itself, we can act under Section 10.

9. Availability

We aim to keep Stemmory running, but we do not promise a specific level of uptime. There is no service level agreement, and none is implied by anything in these terms or on our site. The service may be unavailable for maintenance, for reasons outside our control, or because of a fault we have not yet fixed.

10. Suspension and termination

We can suspend or terminate your access if you break these terms, or if we reasonably believe your account is being used fraudulently or to harm the service or other customers. Where practical, we will tell you why. Non-payment is not treated this way: a workspace that stops being paid for becomes read-only, as Section 4 describes, with your data preserved.

You can stop using Stemmory and cancel your subscription at any time from inside the app.

If your account is terminated, your workspace data is handled as described in our Privacy Policy. Termination does not entitle you to a refund beyond what Section 5 already provides.

11. Warranties and limitation of liability

Stemmory is provided "as is" and "as available". To the extent the law allows, we make no warranties, express or implied — including implied warranties of merchantability, fitness for a particular purpose and non-infringement — and we do not promise that the service will be uninterrupted or error-free.

To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, lost business or lost data, arising from your use of the service.

We do not exclude or limit liability where the law does not allow us to, including liability for death or personal injury caused by our negligence, or for fraud.

Our total liability to you for all claims relating to the service, taken together, is limited to the amount you paid for Stemmory in the 12 months before the first claim arose.

12. Indemnity

If a third party brings a claim against us because of content you put into Stemmory, or because you used the service in breach of these terms or of the law, you will cover the losses and reasonable costs that claim causes us. This does not apply to the extent the claim results from our own breach of these terms.

13. Changes to these terms

We may update these terms from time to time, for example to reflect a new feature, a change in the law, or a change described in Section 6. If we make a material change, we will tell you by email or by a notice inside the app, before it takes effect. If you do not accept a material change, you can cancel before it takes effect. Continuing to use Stemmory after a change takes effect means you accept the new terms.

14. General

Force majeure. Neither of us is responsible for a failure caused by events beyond reasonable control, such as outages of underlying infrastructure providers, natural disasters, war, or government action. Payment obligations for service already delivered are not affected.

Assignment. You may not transfer your rights under these terms without our written agreement. We may transfer ours as part of a merger, acquisition or sale of the business, and we will tell you if we do.

Survival. Sections that by their nature should survive the end of these terms do survive, including Sections 7 (content and licences), 11 (warranties and liability), 12 (indemnity) and 15 (governing law).

Severability. If a court finds part of these terms unenforceable, the rest still applies.

Entire agreement. These terms, together with our Privacy Policy and Refund Policy, are the whole agreement between you and us about the service. They do not override the separate purchase contract you have with Paddle as Merchant of Record.

No waiver. If we do not enforce a part of these terms, that is not a waiver of our right to enforce it later.

15. Governing law

These terms, and any dispute or claim arising out of or in connection with them or the service (including non-contractual disputes or claims), are governed by the laws of India.

The courts at Guntur, Andhra Pradesh, India have exclusive jurisdiction over any such dispute or claim, and each of us submits to the jurisdiction of those courts.

Nothing in this section takes away any right you have under the mandatory consumer protection law of the country you live in, where that law applies to you regardless of this clause.
